Welcome to BidHawk AI. By accessing or using our service, you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use BidHawk AI.

These Terms constitute a legally binding agreement between you ("you," "your," or "User") and Simplified Logic, Inc. ("we," "us," or "our").

BidHawk AI is an AI-powered document analysis platform designed to help businesses analyze customer provided content.

Key Features:

• AI-powered analysis of Criteria and Proposal Documents provided by users.
• Automated Criterial/Proposal review, scoring, and recommendation generation.
• Browser-based review of analysis results.
• Download of analysis results (Adobe PDF and Microsoft Excel Files)
• Simplified Procurement (pay for what you need - no monthly/long term commitments)
• Enhanced Security - Secure Transport and platform hosted services

Third-Party AI Integration: BidHawk AI integrates with third-party artificial intelligence providers, including Google (primary), OpenAI (optional), Anthropic (optional), and others, to power certain features of our service.

Account Creation
To use BidHawk AI, you must create an account and provide accurate, complete information. You agree to:

• Provide truthful and current information
• Maintain the security of your account credentials
• Notify us immediately of any unauthorized access
• Be responsible for all activity under your account

Eligibility
You must be at least 18 years old and have the legal capacity to enter into contracts to use BidHawk AI. If you are using the service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms.

Account Security
You are solely responsible for maintaining the confidentiality of your account credentials. We are not liable for any loss or damage arising from your failure to protect your account information.

Your Content
"Your Content" means any data, documents, files, text, or other materials you upload, submit, or input into BidHawk AI, including:

• Bid documents and RFPs you upload
• Proposals and content you create
• Any other information you provide

You Retain Ownership: You retain all ownership rights to Your Content. By using our service, you grant us a limited license to use, process, and store Your Content solely for the purpose of providing the service to you.
4.2 AI-Generated Output
"Output" means content generated by our AI-powered features based on Your Content or inputs.
Ownership of Output: As between you and Simplified Logic, Inc., you own the Output generated through your use of the service. We assign to you any rights we may have in such Output.
However, Please Note:

• Output may be similar to content generated for other users if they provide similar inputs
• We cannot guarantee that Output will be unique or free from third-party intellectual property rights
• You are solely responsible for evaluating Output for accuracy, appropriateness, and potential infringement before use

Your Responsibilities for Your Content
You represent and warrant that:

• You have all necessary rights, licenses, and permissions to submit Your Content to our service
• Your Content does not violate any laws or third-party rights (including copyright, trademark, privacy, or confidentiality rights)
• Your Content does not contain viruses, malware, or other harmful components

Important: You agree not to submit, upload, or provide any of the following to BidHawk AI:

• Highly sensitive personal information (Social Security numbers, financial account numbers, passport numbers, driver's license numbers)
• Protected health information (PHI) as defined by HIPAA
• Payment card information (credit card numbers)
• Information belonging to others that you do not have permission to use
• Any data subject to specific regulatory protection unless you have confirmed with us that our service is compliant for that use case

You are solely responsible for the data you submit. We disclaim all liability for any sensitive or protected information provided in violation of these Terms.

You agree to use BidHawk AI only for lawful purposes and in accordance with these Terms. You agree NOT to:

Prohibited Content
Generate, upload, or use BidHawk AI to create content that:

• Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• Promotes violence, discrimination, or hatred against individuals or groups
• Infringes on intellectual property rights or violates confidentiality obligations
• Contains malware, viruses, or other harmful code
• Violates the privacy rights of others
• Is fraudulent, false, misleading, or deceptive

Prohibited Activities

• Attempt to reverse engineer, decompile, or derive the source code of our service
• Use automated tools (bots, scrapers) to access the service without permission
• Interfere with or disrupt the service or servers
• Attempt to gain unauthorized access to any part of the service
• Use the service to compete with us or develop a competing product
• Resell or redistribute the service without authorization
• Use the service to make decisions with legal or similarly significant effects on individuals without appropriate human review

Prohibited Use Cases
You may not use BidHawk AI:

• As a substitute for professional legal, financial, medical, or other licensed professional advice
• For any purpose where accuracy is critical to safety or legal compliance without independent verification
• To generate content for distribution at scale without human review
• To make automated decisions about individuals that could significantly affect them (employment, credit, housing, etc.) without human oversight

Violation of this Acceptable Use Policy may result in immediate suspension or termination of your account.

Third-Party AI Providers We Use
BidHawk AI uses third-party artificial intelligence services from:

• Google AI
• OpenAI
• Anthropic

What We Do
We take steps to protect your data when using these third-party services:

• We use enterprise/business tiers of AI services with stronger privacy commitments
• We maintain Data Processing Agreements (DPAs) that contractually prohibit AI providers from using your data to train their models
• We follow data minimization practices
• We regularly review provider policies and terms

What We Cannot Control or Guarantee
Please read this section carefully, as it contains important limitations on what we can guarantee regarding third-party AI providers.

We Cannot Control AI Provider Practices Beyond Our Contracts
While our contracts with Google (primary), OpenAI (optional), and Anthropic (optional) prohibit them from using your data for model training, we cannot physically enforce this or independently verify their compliance in real-time. We rely on their contractual representations.

We Cannot Guarantee Complete Data Isolation
We cannot guarantee that your data will be completely isolated from other customers' data within the AI providers' systems. The technical infrastructure is controlled by the providers, not by us.

We Cannot Control What AI Providers Do With Data
If an AI provider violates our agreement, changes its practices, experiences a security breach, or is subject to a legal process requiring disclosure, we have limited ability to control or prevent such events.

We Cannot Control Provider Policy Changes
Third-party AI providers may change their terms, policies, or data practices at any time. While we monitor for changes and will make reasonable efforts to notify you, we cannot control these third parties' decisions.

We Cannot Control If AI Providers Consolidate Information
If AI providers consolidate, aggregate, or otherwise process information across customers despite contractual prohibitions, we cannot control that activity.

Legal and Government Requests
AI providers may be required to disclose data in response to legal process, government requests, or national security demands. We cannot control or prevent such disclosures by third parties.

Your Acknowledgment
By using BidHawk AI, you acknowledge and agree that:

• You understand the limitations described above
• You accept the risks associated with third-party AI processing
• You will not hold us liable for actions taken by third-party AI providers
• You are responsible for determining whether our service meets your specific security and compliance requirements

If you require absolute guarantees about data handling that we cannot provide due to our current reliance on third-party AI services, please do not use BidHawk AI. Optional hosting or connections to your own AI services are available for improved security via enterprise agreements with Simplified Logic, Inc. for BidHawk AI custom deployments.

Nature of AI Technology
Artificial intelligence technology, including the services provided by BidHawk AI, is probabilistic and may produce unpredictable and inconsistent results.

You acknowledge and understand that:

• AI-generated Output may be inaccurate, incomplete, misleading, or factually incorrect
• AI models can produce "hallucinations" (plausible-sounding but false information)
• Output may reflect biases present in training data
• Output may not reflect recent events or current information
• Similar inputs may produce different outputs at different times

No Reliance on AI Output
IMPORTANT: You agree that you will NOT:

• Rely on AI-generated Output as a sole source of truth or factual information
• Use Output as a substitute for professional advice (legal, financial, medical, or other licensed professional services)
• Use Output for any purpose with legal or material impact on individuals without independent human verification
• Assume that Output is accurate, complete, or appropriate for your use case without independent evaluation

Your Responsibility to Verify
You are solely responsible for:

• Evaluating the accuracy, completeness, and appropriateness of all Output before use
• Implementing appropriate human review processes for AI-generated content
• Independently verifying any factual claims or assertions in Output
• Ensuring that your use of Output complies with applicable laws and regulations
• Any decisions or actions you take based on Output from BidHawk AI

We strongly recommend implementing human oversight and review for all AI-generated content, especially for high-stakes use cases.

"AS IS" Provision
BidHawk AI and all services are provided "AS IS" and "AS AVAILABLE" without any warranties of any kind.

To the fullest extent permitted by applicable law, Simplified Logic, Inc. and its affiliates expressly disclaim all warranties, whether express, implied, statutory, or otherwise, including but not limited to:

• WARRANTIES OF MERCHANTABILITY
• WARRANTIES OF FITNESS FOR A PARTICULAR PURPOSE
• WARRANTIES OF TITLE
• WARRANTIES OF NON-INFRINGEMENT
• WARRANTIES OF QUIET ENJOYMENT
• WARRANTIES THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
• WARRANTIES THAT DEFECTS WILL BE CORRECTED
• WARRANTIES REGARDING THE ACCURACY, RELIABILITY, OR COMPLETENESS OF CONTENT OR OUTPUT

No Guarantee of Availability or Performance
We do not warrant that:

• The service will meet your specific requirements
• The service will be available at all times or without interruption
• The service will be secure or free from viruses or harmful components
• Any errors or defects will be corrected
• Any content, including AI-generated Output, will be accurate or reliable

Third-Party Services
We make no representations or warranties regarding any third-party services, including third-party AI providers, integrated with or accessible through BidHawk AI. Third-party services are provided "as is" and are subject to their own terms and conditions.

Professional Advice Disclaimer
BidHawk AI is not a substitute for professional advice.
The service does not provide legal, financial, medical, or other professional advice. You should consult with appropriate licensed professionals for advice specific to your situation.

Exclusion of Certain Damages
To the fullest extent permitted by applicable law, in no event shall Simplified Logic, Inc., its affiliates, officers, directors, employees, agents, or licensors be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages, including but not limited to:

• LOST PROFITS
• LOST REVENUE
• LOST BUSINESS OPPORTUNITIES
• LOST DATA
• LOSS OF GOODWILL
• BUSINESS INTERRUPTION
• COST OF SUBSTITUTE SERVICES
• ANY OTHER INTANGIBLE LOSSES

This exclusion applies regardless of the legal theory (contract, tort, negligence, strict liability, or otherwise) and even if we have been advised of the possibility of such damages.

Cap on Direct Damages
To the fullest extent permitted by applicable law, our total aggregate liability to you for any and all claims arising out of or relating to these Terms or your use of BidHawk AI shall not exceed the greater of:

• (A) One hundred U.S. dollars ($100), or
• (B) The total amount of fees you have paid to us for BidHawk AI in the twelve (12) months preceding the event giving rise to the liability.

Basis of the Bargain
You acknowledge and agree that the limitations of liability set forth in this Section are fundamental elements of the agreement between you and Simplified Logic, Inc. The service would not be provided to you without these limitations.

Applicable Law
Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, our liability will be limited to the fullest extent permitted by law.

Your Indemnification Obligation
You agree to defend, indemnify, and hold harmless Simplified Logic, Inc., its affiliates, and its and their respective officers, directors, employees, agents, contractors, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees and legal costs) arising out of or related to:

• Your use or misuse of BidHawk AI
• Your violation of these Terms
• Your violation of any applicable laws or regulations
• Your Content or any content you submit to the service
• Your violation of any third-party rights, including intellectual property, privacy, or confidentiality rights
• Any claim that Your Content caused harm to a third party
• Your use or reliance on AI-generated Output

Indemnification Process
We will provide you with notice of any claim subject to indemnification. You will cooperate with us in defending the claim. We reserve the right, at our own expense, to assume the exclusive defense and control of any matter subject to indemnification, in which case you will cooperate with us in asserting any available defenses.

Privacy Policy
Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. Please review our Privacy Policy carefully.

Data Security
We implement reasonable security measures to protect your data. However:

• We cannot guarantee that unauthorized access, hacking, data loss, or breaches will never occur.
• You acknowledge that you provide your information and use our service at your own risk. We are not responsible for circumvention of any security measures or unauthorized access by third parties.

Data Breaches
In the event of a data breach affecting your information, we will comply with applicable breach notification laws and will make reasonable efforts to notify you in accordance with legal requirements.

Fees
You agree to pay all fees associated with your BidHawk AI subscription or usage plan. Fees are described on our pricing page and in your account.

Billing

• Fees are billed in advance for services to be provided.
• You authorize us to charge your payment method provided using a third party provider.
• All fees are non-refundable unless otherwise stated in writing or required by law
• We reserve the right to change our fees with 5 days' notice

Taxes
You are responsible for all applicable taxes (sales tax, VAT, etc.) except for taxes based on our net income.

Suspension for Non-Payment
We may suspend or terminate your access to BidHawk AI if payment is past due. We will provide notice before suspension when legally required.

Term
These Terms remain in effect for as long as you use BidHawk AI or maintain an account with us.

Termination by You
You may terminate your account at any time by:

• Contacting us at bidhawk@simplifiedlogic.com, or
• Requesting support from within your account

Termination by Us
We may suspend or terminate your account immediately, without notice, if:

• You violate these Terms
• You engage in fraudulent or illegal activity
• Your use poses a security risk to us or others
• You fail to pay fees when due
• We are required to do so by law

We may also terminate your account for convenience with 10 days' notice.

Effect of Termination
Upon termination:

• Your access to BidHawk AI will be immediately revoked
• We will delete Your Content within 90 days unless legally required to retain it
• You remain liable for all fees incurred prior to termination
• Sections of these Terms that by their nature should survive termination will survive (including warranties, disclaimers, limitations of liability, indemnification, and dispute resolution)

Governing Law
These Terms are governed by the laws of the State of Indiana and the United States, without regard to conflict of law principles.

Informal Resolution
Before filing a claim, you agree to contact us at bidhawk@simplifiedlogic.com and attempt to resolve the dispute informally for at least 30 days.

Jurisdiction and Venue
If informal resolution is unsuccessful, any legal action related to these Terms must be brought in the state or federal courts located in Indiana. You consent to the personal jurisdiction of these courts.

Arbitration (Optional)

Class Action Waiver
To the fullest extent permitted by law, you and Simplified Logic, Inc. agree that each may bring claims against the other only in your or our individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Simplified Logic, Inc. regarding BidHawk AI and supersede all prior agreements and understandings.

Modifications to Terms
We may modify these Terms at any time. When we do:

• We will update the "Effective Date" at the top
• We will notify you by email or through the service for material changes
• Your continued use of BidHawk AI after the effective date constitutes acceptance of the modified Terms
• If you do not agree to modified Terms, you must stop using the service

Severability
If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect, and the invalid provision will be modified to the minimum extent necessary to make it enforceable.

Waiver
Our failure to enforce any right or provision of these Terms does not constitute a waiver of that right or provision.

Assignment
You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.

Force Majeure
We are not liable for any failure or delay in performance due to causes beyond our reasonable control, including acts of God, natural disasters, war, terrorism, pandemics, labor disputes, or government actions.

Export Compliance
You agree to comply with all applicable export and import laws and regulations. You may not use BidHawk AI in violation of any U.S. or international export laws or sanctions.

U.S. Government Users
If you are a U.S. government entity, BidHawk AI is a "Commercial Service" as defined in FAR 2.101, and these Terms govern your use.
